Terms of Service

Please read these Terms of Service carefully before using our platform. By accessing or using HR Software Delhi, you agree to be bound by these terms. If you do not agree, please do not use our services.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and Dlehi Tech Solutions Pvt. Ltd., trading as HR Software Delhi ("we", "us", or "our"), governing your use of our HR software platform, website, and related services (collectively, the "Services").

1 Acceptance of Terms

By creating an account, requesting a demo, or using any part of our Services, you confirm that:

  • You are at least 18 years of age
  • You have the authority to enter into these Terms on behalf of your organisation
  • Your organisation is duly registered and operating in compliance with applicable Indian laws
  • All information you provide is accurate and complete

2 Description of Services

HR Software Delhi provides a cloud-based HR and payroll management platform for businesses operating in Delhi NCR and across India. Our Services include, but are not limited to:

  • Payroll processing, TDS, PF, ESI, and Professional Tax calculations
  • Attendance and leave management
  • Recruitment and applicant tracking
  • Performance management and appraisal cycles
  • Employee onboarding and offboarding
  • Expense management and reimbursements
  • Employee Self-Service (ESS) portal
  • Statutory compliance filing assistance

We reserve the right to modify, suspend, or discontinue any feature of the Services with reasonable prior notice.

3 Account Registration & Security

To use our Services, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your login credentials and not share them with unauthorised persons
  • Notify us immediately at support@hrsoftwaredelhi.com if you suspect any unauthorised access to your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that show signs of unauthorised access, abuse, or violation of these Terms.

4 Subscription Plans & Payments

Our Services are offered on a subscription basis. By subscribing, you agree to the following:

  • Subscription fees are billed monthly or annually as per the plan you select
  • All fees are in Indian Rupees (INR) and are exclusive of applicable taxes (GST)
  • Annual plans are discounted but non-refundable after the first 14 days
  • Monthly plans may be cancelled with 30 days written notice
  • We reserve the right to revise pricing with 60 days advance notice to existing subscribers
  • Failed payments may result in temporary suspension of Services until the outstanding amount is cleared

5 Client Data & Responsibilities

You retain full ownership of all data you input into our platform ("Client Data"). By using our Services, you grant us a limited licence to process, store, and use your Client Data solely for the purpose of providing the Services.

You are solely responsible for:

  • The accuracy and completeness of all employee data, salary structures, and statutory information entered into the platform
  • Obtaining all necessary consents from your employees for the collection and processing of their personal data
  • Verifying that all statutory filings (PF, ESI, TDS, PT) generated by the platform are reviewed and approved before submission
  • Compliance with the Digital Personal Data Protection Act, 2023 and other applicable Indian data protection laws
  • Maintaining appropriate backups of your data independently

Important: While our platform auto-calculates statutory deductions and generates compliance challans, final responsibility for statutory compliance rests with you as the employer. Always verify all generated reports before filing.

6 Acceptable Use

You agree not to use our Services to:

  • Violate any applicable Indian or international law or regulation
  • Process data of individuals without their lawful consent
  • Attempt to gain unauthorised access to our systems or other clients' data
  • Reverse engineer, decompile, or copy any part of our software
  • Upload malicious code, viruses, or any disruptive content
  • Resell, sublicense, or redistribute our Services without written authorisation
  • Use our Services for any fraudulent or deceptive payroll or HR practices

Violation of these rules may result in immediate account suspension and legal action.

7 Intellectual Property

All software, design, code, content, trademarks, and materials on our platform are the exclusive property of Dlehi Tech Solutions Pvt. Ltd. and are protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable licence to use our platform solely for your internal HR operations during your active subscription period. This licence does not include the right to copy, modify, distribute, or create derivative works from our platform.

8 Service Availability & SLA

We target 99.9% platform uptime, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 48 hours in advance. In the event of unplanned downtime exceeding 4 hours in a calendar month, you may be eligible for a service credit as per our SLA policy.

We are not liable for service interruptions caused by factors outside our reasonable control, including internet outages, force majeure events, or third-party service failures.

9 Limitation of Liability

To the maximum extent permitted by law:

  • Our total aggregate liability to you for any claim arising from or related to these Terms shall not exceed the subscription fees paid by you in the 3 months preceding the claim
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
  • We are not liable for statutory penalties, fines, or compliance failures resulting from inaccurate data entered by you or your authorised users

Nothing in these Terms excludes liability for fraud, death, or personal injury caused by our negligence.

10 Confidentiality

Both parties agree to keep confidential any non-public information disclosed by the other party in connection with the Services. This includes business information, employee data, pricing terms, and technical details. This obligation survives termination of these Terms for a period of 3 years.

11 Term & Termination

These Terms remain in effect for the duration of your active subscription. Either party may terminate the agreement:

  • By you: With 30 days written notice for monthly plans; at the end of the annual term for annual plans
  • By us: With 30 days notice for any reason; immediately in case of a material breach of these Terms

Upon termination, you may export your data within 30 days. After this period, we will securely delete your data, except where retention is required by law.

12 Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.

Before initiating legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a minimum of 30 days.

13 Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a prominent notice on our platform at least 14 days before the changes take effect. Continued use of our Services after the effective date constitutes acceptance of the updated Terms.
